You own a restaurant and you need to face these different situations:

1. You have asked one of your employees to negotiate an important business contract with another party. This other party can be a supplier, distributor, customer, etc. - you decide. Describe the relationship you have with this other party. Describe the purpose of the contract.
2. Unfortunately, shortly after executing the contract, your relationship with the other party goes south. You believe they have breached your contract with them. You decide to sue the other party for breach of contract. In which court do you sue the other party? In which venue? Why did you choose this court and venue?
3. The other party refuses to settle, so you get ready to go to trial. During the discovery process, you discover that your employee did not. make a satisfactory job when negotiating the contract. In fact, it appears your employee failed to mention an important fact to the other party during the negotiation process and your employee was, at the very least, negligent. What do you do? Why?
4. Unfortunately, the other party is also going through the discovery process and they also determine that your employee failed to mention an important fact during the negotiation process. They countersue your business for fraud. What do you do? Why?
5. You tell a friend of your business' legal woes. Your friend says your employee is really the one who is at fault and they should be personally responsible for the ensuing legal fees. Do you agree? Why or why not?
