An agreement dated June 1, 2008, between Grimshaw, Stewart, and Bigley, PC., a law firm specializing in environmental law, and Sandra Baker.

WHEREAS the FIRM wishes to avail itself of the services of Ms. Baker; and WHEREAS Ms. Baker is willing to perform services for the FIRM, all in accordance with the following terms and conditions,

NOW, THEREFORE, it is agreed as follows:

1. EMPLOYMENT

The FIRM agrees to hire Ms. Baker, and he agrees to serve the FIRM as a paralegal, with overall responsibility in the area of environmental litigation.

2. TERM

This contract shall endure for three years.

3. COMPENSATION

The FIRM agrees to compensate Ms. Baker $2,000 per month plus such additional bonuses as it shall deem just.

5. CONTINUING EDUCATION

Ms. Baker agrees to attain whatever continuing professional education is necessary. The FIRM agrees to compensate her for such education so far as it is in furtherance of his employment.

6. RESTRICTIVE COVENANT

Due to the confidential nature of the business of the FIRM, Ms. Baker agrees that should she cease employment for any reason whatsoever she will not work for another law firm specializing in environmental law for three years from the date of her termination.

7. TERMINATION BY THE FIRM

At any time during the course of this agreement, the FIRM may terminate the services of Ms. Baker for any reason.

8. TERMINATION BY MS. BAKER

Termination by the employee may be made only by following the provisions outlined in clause five above.
