Jonathan James is a franchise agent for Subway.Subway is a restaurant franchise that sells sandwiches, wraps, and salads.Subway is one of the fastest-growing franchises in the world and, as of June 2017, has approximately 45,000 stores located in more than 100 countries.

Jonathan James represented to and agreed with plaintiffs Liz and Tom Jones that Subway would find a store location in Half Moon Bay that Liz and Tom Jones would buy for Subway, and then Subway would stock this store location in Half Moon Bay with the food supplies needed so that Liz and Tom Jones could operate the Subway franchise.

In return, Liz and Tom Jones would invest a total amount of $150,000.Liz and Tom Jones thought that this would be a great opportunity and the parties agreed on these terms.

Relying on Jonathan James's statements, Liz and Tom Jones sold their personal home in San Jose and their other business (a dive bar in San Francisco) and the building it was located in. They used the money from these two sales to buy the building in Half Moon Bay that Subway told them to buy, and where Subway wanted its location.

Since they no longer had a personal home, Liz and Tom had to find a house to rent so that they had somewhere to live.Rent was expensive in Half Moon Bay.Liz and Tom Jones did this, but it disrupted their life emotionally and financially.

Jonathan James then met with Liz and Tom Jones and told them that Subway decided that Liz and Tom needed to come up with another $150,000 to get the Subway franchise.Liz and Tom Jones did not have any additional funds to give to Subway and Jonathan James.

Jonathan James and Subway then canceled the agreement with Liz and Tom Jones.

Liz and Tom Jones sued because they lost substantial amounts of income and expended large sums of money as expenses.Liz and Tom Jones demanded recovery of damages for the breach of Jonathan James and Subway's representations and agreements.
