Zidan appointed Tony as his agent to buy a condominium in Bukit Tinggi at a price not exceeding RM500,000 for him to stay with his family.

Jimmy agreed to sell the condominium at RM450,000. Tony made an arrangement with Jimmy that the purchase of the condominium is stated as RM500,000 in the Sale and Purchase Agreement. Upon payment of the purchase price, Tony kept RM30,000 for himself and gave the remaining RM20,000 to Jimmy without Zidan's knowledge. Two months later Zidan discovered the deal between Tony and Jimmy.
