You are recruited by an executive search firm to serve as an independent director of Middlesex Co., a mid-size apparel manufacturer whose stock is listed on the New York Stock Exchange. You have no prior involvement with Middlesex or any of its officers or directors. After you arrive you discover that Sam Smith, whom Middlesex lists as another independent director, is dating the company’s chief financial officer. Another purportedly independent director, Wendy Williams, was the college roommate of the chief executive officer and remains one of his closest friends.
