Hydro-Dynamics Inc. (HDI) manufactured bed sheets, principally for waterbeds. HDI purchased cloth from Fieldcrest Cannon on credit for several years. John Meyer was an officer and director of HDI from May 22, 1987, until HDI’s dissolution on September 10, 1990. After HDI’s dissolution, Meyer continued to act as if HDI were a corporation, and in the name of HDI, he continued for many months to make contracts and buy cloth on credit from Fieldcrest. Fieldcrest was not aware that HDI ceased to exist. Is Meyer personally liable on the contracts he made with Fieldcrest in the name of HDI after its dissolution?
