Seller assigns the right to receive monies owed from a UCC article 2 contract to a third party by way of assignment. For a variety of reasons, defendant buyer refuses to pay the invoiced amount. The third party sues. Does the UCC still govern the lawsuit despite the plaintiff being a third party and not privy to the contract?
