Missouri, Inc. (Allright), a Missouri corporation, was a limited partner in Downtown Development Associates, Ltd. (Downtown). The limited partnership was formed to develop two city blocks located in an area known as Lacledes Landing in downtown St. Louis, Missouri. When questions arose as to the transfer of some of Downtown’s land to another limited partnership, Allright and many other limited partners sought to sue Downtown.
