A. B and C are directors of ABC Son. Bhd., a company dealing in telecommunications parts. The relationship between C and the other directors (A and B) became very strained. A and B negotiated, on behalf of ABC Sdn. Bhd, a lucrative contract with a telecommunication company. When the contract was awarded, they formed XYZ edn. Bhd. to perform the contract, intending thereby to deny C any benefit from it. Upon completion of the contract, the contract price was paid to XYZ Sdn. Bhd. Advise C whether, and if so, on what grounds can A and B be made accountable to ABC Son. Bhd. for the money received from the telecommunication company
