A1 Riza and Partners is an ordinary partnership specializes in trading motorbike spare-parts. Riza, Din and Zul are partners of the firm. Din is a sleeping partner. The business appears to be successful. However, recently the business has suffered losses. Zul has his own business with his own family who trade in car spare-parts. It is a well-known fact to Riza and Din that Zul spends a lot of efforts in the family business trading in car spare parts. Riza and Din however want Zul to share the profits with them since Zul has neglected his duties owed to their partnership business. Riza has recently started to use the business van for his personal reasons without asking for the consent of both Din and Zul. They have fallen out and Riza wants to leave the partnership and to take his printer with him. Din and Zul disagree and insist that it is part of the partnership property. The printer, bought using Riza's money is used by other partners for their convenience in printing receipts and invoices for their customers.
