ABC Limited is owned by three shareholders who are also directors and employees in the company. They have each contributed $25,000 in capital. They are in the business of making mobile phones in New Zealand. Their New Zealand based supply chain is focused on ensuring that that life cycle of the product results in zero waste.
Now one of the shareholders wants to leave the company and go into another business venture. The other two shareholders appreciate the contribution of the shareholder who wants to leave and come up with some incentives to encourage them to stay with the business as a shareholder/director/employee.
1.Use of the company vehicle on the weekends. The private use of the company vehicle is subject to Fringe Benefit Tax which the company will pay each quarter.

3.Providing a staff bonus as part of the employee of the month scheme to recognise the contribution as an employee. The bonus is in the form of 10 movie tickets valued at $800.
4.Payment of a cash dividend to all shareholders will be valued at $5,000 for each shareholder.
5.A second option is put to the shareholder to set up another business as part of the ABC Limited Group of companies. The arraignment would mean that companies in the group share resources such as part of the building that ABC Limited is currently leasing can be used by the new company, ABC Subsidiary Limited. The value of the lease area is $50,000 per year.
