Because the partnership business was a losing proposition, the partners decided to close shop. Upon dissolution, Bert was appointed as the liquidating partner. Bert wants to use the remaining partnership property to settle the debt to Willie as it was the largest debt of the partnership. Abe and Celso want to use the partnership property to settle all other existing debts in order to remove all the other debtors and reduce the number of debtors the partners would have to deal with afterward. This will mean they will only be left to deal with one remaining debtor, Willie.
