After reviewing the relationship between Rita Morales and the software consultant company IPQ she worked for, I do see a handful of potential problems with Rita taking client information from her employer to lure them to her own software consultant company. By Rita taking the client list from IPQ, she had breached her duty of loyalty to her employer. She has done this not only by taking the client list but also by utilizing company time working and calling her clients from her IPQ office. "When conducting the principal's business, an agent may not engage in self-dealing" (Prenkert et al., 2022, p. 35-10). This is not the only conflict of interest we see broken. Depending on the employment contract signed by Rita, there is the possibility she signed a non-compete clause. A non-compete clause is used in contracts between employee and employer to block an employee from either working for a competitor after employment ends or starting a competing business within the same geographical area (Federal Trade Commission, 2023). Legally Rita can be terminated from her position at IPQ and forced to comply with the non-compete within her contract. A lawsuit could very well follow as well, due to Rita breaking the confidentiality of her employer by using confidential customer information for personal gain.
