Assignment Goal:

This case illustrates the tension between profit, growth and control. It is important to understand the performance pressures created by the expectations of analysts and investors described by Arthur Leavitt in the famous Numbers Game Speech. The case is designed to provide the opportunity for students to analyze the causes and consequences of ethical lapses and organizational crises.

Specifically do the following: analyze and answer the three specific questions below.

1. Describe Bausch and Lomb's growth strategy and control structure under Dan Gill's leadership during the period 1981 to 1994.
2. One red flag of bad corporate governance is the unacceptance of failure. Consider each of the three divisions and explain how each responded to Gill's unrelenting pressure for sales growth. What illegal/unethical practices were utilized to meet growth expectations? How do these compare to Enron? Be specific.
3. Assume that your team was hired as the new audit committee to replace Gill and his board. Using COSO as the roadmap, what would be your recommendations for the implementation of internal risk mechanisms to avoid a repeat of this global fraud?
