Bribery is one of the biggest problems in developing and under-developed countries. According to the Malaysian Code on Corporate Governance 2017, firm have to address issues related to the prevention of bribery and managing conflict of interest in their Code of Conduct and Ethics. In 2018, Guideline on the Adequate Procedure (GAP) has been published by the Prime Minister Office to combat bribery and corruption. Despite of all of the government efforts, this problem still exists in both private and public sector. (a) Explain the corporate liability that has been stated in the GAP. (b) States the aim of the criminalization of the corporate liability according to the GAP. (c) Describe the recommendations given by GAP for commercial organization to establish policies and procedures that would be able to protect the commercial organization from corporate liability in the case if bribery exist in the company.
