Cinco is employed as the managing director of Alpha Bhd, whose main object is to retail weapons, suits and military devices. Her contract of employment contains a clause which states that in the event of her leaving employment of Alpha Bhd, she will not solicit their customers for a period of two years. Cinco resigned from her employment and together with her husband, Ocho formed a new company, Microbugs Bhd, whose main object is also retailing weapons, suits and military devices. Uno is a salesman employed by Microbugs Bhd. He was given a customer listed by Cinco following which he began to solicit Alpha Bhd's customers.

In order to raise cash for her new business, Cinco enters into a contract to sell her house to Khai for RM500,000. Uno, who has always admired the house, approaches Cinco and makes her an offer of RM550,000. Cinco then transfers the ownership of the house Alpha Bhd and on behalf of the company enters into negotiations to sell the house to Uno.
