Company A issues a purchase order with its company's terms and conditions attached. This is received by Company B. Company B sends the goods with its own terms and conditions. The delivery driver belonging to Company B makes an employee of Company A sign those terms and conditions and releases the goods. Both sets of terms are not identical. Assuming there is some dispute and it becomes material to determine whether Company A's or Company B's terms apply - which set of terms should apply? Would your answer be different if Company A was not required to sign the Company B's terms and conditions, but was just given a copy at the time of delivery?
