Contract performance will be excused under the following circumstances:

a. Voidable contract by either party.

b. Impossibility, such as the subject matter of the contract is destroyed while the contract is still executory.

c. Commercial Practicability, where the basic assumptions of the parties during the contract formation are still true.

d. All of the above.
