InGermany, their business has shown significant growth during the past three years, even despite the pandemic. Up to now,Energy Shoes SAhas been working with a distribution partner inMunich. Theshop is well located in the main shopping street. The company wants to set up its own branch.Jean-Pierre Bernard, the existing distributor, shall be appointed as branch manager.

Jean-Pierre Bernard has the task to clarify two questions:

1. Does the branch have to be registered in the commercial register?
2. Who will be legally liable for potential contractual claims of customers based on the sale of products?
