Directors: Charles Blackett (Chair and CEO) Ruby Blackett George Blackett Anne Thompson (nee Blackett) shareholders: Charles Blackett 25% Ruby Blackett 10%% George Blackett 25% Charlotte Blackett 5% Henry Blackett 5%% Anne Thompson (nee Blackett) 25% Rory Thompson 5% The company was originally established by Herbert Blackett in 1970. His son Charles joined the firm as an employee in 1975 taking over as CEO and chair of the board when his father died in 1980. Ruby is the wife of Charles and the head chef in the restaurant. Both George and Anne are younger siblings of Charles. George is an accountant who lives in Sydney. Anne is in charge of the plant nursery side of the company's business. Charlotte and Henry are George's children. They are both at university in Sydney. Rory is Anne's son who is a musician. The company has suffered some setbacks over the last few years. The lockdowns due to Covid affected both businesses but the restaurant suffered most due to cancellation of events. Wedding bookings have increased recently but bookings for conferences have not returned to pre-Covid volumes. The plant nursery operated on a 'click and collect' basis during the lockdowns and business has been very strong since. The plant nursery business is profitable but the restaurant business is not. George and Anne are in faygyr of selling the restaurant business in order to concentrate on and expand the plant nursery business. Charles and Ruby want to maintain both businesses. Five months ago the board approved expenditure of $50,000 on renovations to the restaurant kitchen. The renovations were completed promptly. The account was not paid within the required 14 days and $25,000 remains unpaid. All directors, except Anne, voted in fayour of the expenditure on the kitchen. Starry Kitchens Pty Ltd was contracted to do the work. George had recommended them. He was not familiar with their work but they were clients of his in his accountancy practice. In fart they had a long overdue account owing to him of $10,000. The board did not obtain any other quotes. The work was completed to an acceptable standard but Anne believes Starry Kitchens inflated the quote by about 10%% because George had assured them they would be awarded the work. Daffodil Days Pty Ltd has a credit facility from Lido Bank. Daffodil Days has been late with the monthly payment for the last two months. At the board meeting last month the board, with the exception of Ruby who was home suffering with Covid, approved the purchase and construction of new greenhouses and irrigation systems for a total cost of $100,000. several quotes and proposals had been prepared by an employee, Ravi, and the recommended quote from Sunny Gardens Pty Lto was accepted. Anne consults you for advice. She is concerned that Charles and Ruby will never agree to sell the restaurant side of the business. She is particularly concerned that if the restaurant business is not sold they may not be able to pay Sunny Gardens. She has thought of calling a members meeting to vote to approve a sale of the restaurant as her son Rory and George's children would likely support their parents' wishes. She wants to know if this is a good option or whether there might be other ways to resolve the issue. She is also concerned about any potential liability for her and any of the other directors in relation to any of the events outlined.
