Step 1) Form an itemized business plan for a new limited liability company. Google

"business plan" for a treasure trove of ideas! Use the ideas as a template and adapt it to your business activity. There are some business plans that are 20 pages long and very detailed, and other business plans that are 1 page long and contain very few details.

Your business plan should be 3-5 pages long. I will include a brief overview of common sections in a business plan as an attachment.

Step 2) Fill out the pertinent State of Ohio Articles of Organization form for your new

LLC. The form is available online on the Ohio Secretary of State's website, at no charge.

Then discuss the advantages and disadvantages of the selected business structure, LLC, in a short essay not less than 2 pages long, observing requirements above. This step requires that you discuss the advantages and disadvantages of organizing your business as an LLC, not whether it is a good idea to start a restaurant, or a spa, or a bar. Check out chapter 17 in your text.

Step 3) Discuss possible federal or state governmental agencies that the new LLC may encounter, in a short essay not less than 2 pages long, observing the requirements above.

Name the agencies that your new LLC will encounter and what, exactly, this agency will require of your business.

Step 4) Create a contract between your new LLC and the XYZ Corp. Starting a new business means that you will need to buy something. Write a contract for your business purchasing goods or services from another business, XYZ Corp. There is a good example in your textbook. You may use this template or any other template you find online, but please change it to fit your new business.

Step 5) Finally, discuss the Uniform Commercial Code. You should discuss what the UCC is, what types of transactions it covers, and if the UCC is applicable to the new LLC. This should be written in a short essay not less than 2 pages long, observing the requirements above. There is a discussion of selected sections of the UCC.

Please note that each of steps 2, 3, and 5 require a separate two-page essay, with your original thoughts based on the reading of the textbook that you have done, and other resources you may choose to consult, observing the requirements above. Failing to observe the two-page minimum limit for each essay will result in lost points for that step. Failure to label each step will result in lost points for that step. Zero points will be earned if you cite to Wikipedia. Zero points will be earned if you use bullet points.
