Fact Scenario: You work for Titan Gaming Chair Inc. ("Titan"), a manufacturer of high-end gaming chairs for the professional gamer market. You are a supply chain professional and you are responsible for assisting your company's lawyer in drafting various purchase and supply contracts for Titan. You are excited to find out your company has finalized an agreement with Big Box Office Inc. ("BBO Inc.") to supply them with 45 gaming chairs per store in Ontario. BBO Inc. currently has 150 stores operating within Ontario. You understand that if things go well, they would be interested in ordering chairs for all their stores throughout Canada, a total of 325 stores. You have been asked to assist your company's lawyer draft and negotiate a purchase agreement with Luxury Leatherworks Inc. ("LL Inc.") for all the leather Titan will need for this order and that the Agreement will be for an initial term of one (1) year. LL Inc. has developed an international reputation for procuring and producing the highest quality leather in the market. Keep in mind that, amongst other things, you'll want to try and get LL Inc. to agree to some provision that allows you an option to make subsequent orders within the initial one-year term and automatically renew the Agreement for a further year. Termination of the Agreement should be allowed by either party on 30 days' notice at the end of the initial term or during the renewal term.
