Fun-4-Kids Ltd (F4K) is a Perth-based company that specialises in designing and manufacturing equipment for use in childrens playgrounds. Clause 4 of F4Ks constitution provides that the companys activities are restricted to the design and manufacture of childrens playground equipment suitable for use in public spaces.

Eighty per cent of the companys members are dog owners who would like the company to expand its activities to include the design and manufacture of dog exercise equipment (for use in public places) but the directors think that this is not a good idea.

The members ask you for advice on whether they can compel the directors to expand F4Ks activities to include the design and manufacture of dog exercise equipment, or if the directors can ignore the members wishes.
