ABC Pty Ltd (ABC) is a manufacturer of smallgoods (i.e. salami and processed meats). It owns a large factory and storage facility in Sydney and it has all the machinery and plant for the processing of smallgoods as well as trading stock. ABC's largest customer was Safewise, which runs a chain of large supermarkets throughout New South Wales. As a result of a legal action launched against Safewise for alleged food poisoning arising from the consumption of an ABC salami, Safewise withdrew all ABC products from its shelves and returned them to ABC.
ABC now has a liquidity problem because of the loss of its major customer. Further, the smallgoods that were returned are of dubious quality because of possible poor storage and the implication from the legal action that the products are affected by bacteria.
The directors of ABC are concerned about the company's viability and wish to minimise their liability in the current situation.
Required:
Advise the ABC board as to their best option that will limit their liability under theCorporations Act 2001(Cth) in the current situation.
