Sarah and Li would like to form a company doing business together. However, they are unsure of the requirement of law. They have approached you for more information before they proceed with the new venture. Based on Companies Act 2016, 1. Explain to them the: (a) concept of separate legal entity. (10 marks) (b) principle of limited liability of a member. (20 marks) 2. (a) Discuss with them to derive a suitable name of the new company. (10 marks) (c) Advise them on procedure in searching for a name of their company. (20 marks) 3. A company is formed with the name "Luxury Sdn Bhd" (Luxury). The objects clause of Luxury provided that "the company can run a restaurant and catering business and any other business incidental or consequential to it". Sarah wishes to venture into sheep rearing without amending the objects clause. A contract is entered into with Bina Sdn Bhd (Bina) to build 50 sheep shelters at the cost of RM1 million.
