Case Scenario:

Danny Zuko and Kenicki Murdoch started a business, which was registered with the state on July

1, 1978, shortly after they graduated high school. The name of the business is Grease Lightning

Mechanic Shop, LLC, with the registration number of XX007. Both Danny and Kenicki decided

to register the company as an L.L.C. because of the liability benefits, and the ease of formation

and management. Plus, they did not want to be taxed twice. They had an Article of Organization

which states that they own the business in 50/50 shares.

They successfully operated the business until Kenicki became distracted with his new girlfriend,

Rizzo. Danny had been married to Sandy since 1980. Rizzo and Sandy did not like each other

very much, which caused a lot of drama between Danny and Kenicki. Recently, Danny and

Kenicki had a big blow out at the Frosty Place when they had stopped by for a quick milkshake.

Kenicki yelled at Danny that he was tired of working with him, so he wants to close the company

and walk away. Danny who had successfully put money to the side for his retirement, stated that

he was ready to retire anyways. Kenicki told Danny to shut it down and sell off the rest of the

assets.

Danny hired Rydell Law Firm to prepare the documents necessary to close the business as of

May 1, 2020, the same day that Danny will sign the documents. In the Articles of Organization,

Danny was selected to handle the winding up of the business. Danny is unsure if all the creditors

were paid, as Kenicki often entered agreements with supplies who Danny did not know, so a

notice will have to be placed in the local paper, requesting the name, address, account balance

and account number of the debt owed.
