In order to give Hugh the time needed to obtain necessary building permits, the contract provided for a closing (when the buyer pays and the seller delivers the deed) within one year after the contract was signed. During the year, Hugh worked diligently to obtain all of the permits needed and he kept Norman advised of his efforts. However, he was unable to get the sewer permit in time and he suggested to Norman that they reschedule the closing for two weeks later. Norman refused and said that the date in the contract was a firm date and if Hugh did not close by the date specified in the contract, he was breaching the contract.
