You and Lopez have agreed orally that Lopez will get another lawyer to represent him in connection with the purchase of the stock from Harari, but you will prepare the relevant documents. Lopez will serve as the president and sole director of Forest. You will serve as its general counsel and will handle its legal matters. You will be paid a salary. You would prefer to enter into these arrangements without having to make a lot of disclosures to Lopez. He gets nervous about complicated legal information, so if you go overboard on disclo-sure, he might back out of this deal with you.
