According to the articles of association of Crystal Clear Vases Ltd, the directors of the company had the power to purchase printing papers but they needed an authorization from the members. Viola delivered the papers as per the contract but the company refused to pay her. The company argued that the directors did not get the required authorization from the members as required under the articles of association. Viola is aggrieved.
