Case study: Company A operates in a developing country and was recently acquired by Company B, which is one of North American group of companies. The new owners of the company have gained a comprehensive understanding of Company A's culture, management and system. The first step in this work was to change Company A's long-standing code of conduct. B's board members believe that since Company A is a subsidiary of Company B, it must adhere to Company B's ethical principles. Simon, CEO of Company A, strongly objected, explaining why the company should maintain the current rules. He said: Company A follows the code of conduct for the country in which it operates. In North America, business ethics is often criticised. Some of the companies that operate there are often criticised for their 'mercenary' situation. Although Company A adheres to the country's code of ethics, it is also the basis for receiving orders for products from European consumers. I am confident that they produce our products in accordance with our high ethical standards. " Mr Simon added that Company A had a high reputation at home and abroad, and that the company's reputation would be jeopardised if the current rules were changed to the general rules of Company B. Anthony, Vice President of Company B, met with Mr. Simon and Company A on site. Mr. Simon said the company does not use child labor. Although this is not prohibited by the law of the country, the use of child labor is said to be unethical. Anthony asked Mr. Simon if the child's earnings in the right circumstances would be the main source of income for the family. In response, Mr. Simon explained that although money is important to the family, child labor is unethical because it exploits child labor and hinders their education.
