In clause 6 of its constitution PCW Pty Ltd, a company formed under the Corporations Act, requires 90% of members voting at a meeting to vote in favour of any resolution to alter its constitution, before it will be altered. It can be stated in relation to this that:

	a.	Such a requirement will not be valid as it conflicts with the express provisions of the Corporations Act in relation to alteration of the constitution of a company
