Isabelle Inkster, the printer, borrows money from Downtown Federal Bank who properly attached (takes a security interest) in all of her equipment "now held or hereafter acquired" in June 2016. The bank also properly filed a UCC-1 financing Statement on this collateral at that time. In May 2017 Inkster is at a trade show where she is taken by a new kind of binding machine, The BindAll 2400, manufactured by the Bindy Corporation. The Bindy representative says that the machine can be hers for only $13,595 and that his firm is ready to sell it to her on "easy credit terms." Inkster signs a sales order on the spot. The Bindy representative promises to personally deliver the machine to her later in the week. On May 14, 2017 he arrives at her business with the machine. He delivers it into her printing shop and helps her set it in place. She gives him a check for $1,360 representing the down payment and signs a promissory note prepared by the firm under which she will pay the remainder of the price, at a defined rate of interest, in monthly installments over the next two years. Inkster also signs a security agreement by which the Bindy Corporation gets a security interest in the particular machine, which is properly identified in the agreement. A UCC-1 Financing Statement is filed by the Bindy Corporation in the proper office on May 20.
