UrbanPtyLtdadvisesDistrustfulBankLtdthattheloanagreementisterminatedonthegroundsthatthecompany'sconstitutiondoesnotpermitanyborrowingover $50,000withoutapprovalfromthemembersingeneralmeeting;thatDistrustfulBankLtdshouldhavebeenawareofthisrequirementandhadtheresponsibilitytochecktoensuresuchapprovalhadbeenfirstobtained;and,thatVerahadnoauthoritytoenterintosuchanagreement.
