A. engaging in wrongful conduct that adversely and materially affects the LLC.

B. engaging in conduct, relating to the companys activities, that makes carrying on those same activities with the member impractical or impossible.

C. engaging in conduct that goes against the majority opinion of LLC members.

D. willfully committing a material breach of the operating agreement.
