Thorington had given money to him as a result of them both form a company - irish optimism ltd together with 50%/ 50% ownership. However thorington couldn't actively partipate in the business due to some legl restrictions. Mcan felt he was not contributing and he was doing all the work and therefore he set up a rival company and shifted the lease to the rival company ( irsh hospitality). Thorington was out of the company. . Thorington aimed to sue in the name of Irish Optimism Ltd, claiming that McCann had harmed the company by diverting the business opportunity (the lease) to his new company, Irish Hospitality
