Melinda Jones and Harrison Bates, residents of Palo Alto, California were excited to plan their wedding scheduled for March 7, 2020, in San Francisco, Ca. On January 27, 2020, they signed contracts with the following vendors: the Julia Morgan Ballroom, Above and Beyond Catering, Violetta Flowers, and the Outer Space Orchestra. Two hundred guests from around the world had RSVPd that they would attend and Melinda and Harrison based their contractual agreements on 200 guests.

They made the following amounts down-payment based on the full contract price:

Unfortunately for them, the pandemic had begun. Here is a timeline of events:

On December 31, 2019, the World Health organization says a mysterious pneumonia is sickening dozens in Wuhan Chine.

On January 11, 2020, China reports its first death from coronavirus.

On January 26, 2020, the Centers for Disease Control confirm Californias first case of coronavirus in Orange County.

On January 30, 2020, the World Health Organization declares a public health emergency.

On January 31, 2020. Santa Clara County reports its first corona virus case and US Health and Human Services secretary declares a national public health emergency.

March 6, 2020 San Francisco makes public health recommendations that people in vulnerable populations, such as those over age 60, limit public outings, that businesses minimize travel and the number of people working in offices, and that non-essential large gatherings be canceled.

March 11, 2020: San Francisco bans public gatherings of 1,000 people or more.

March 15, 2020. Governor Gavin Newsom orders all bars, nightclubs, wineries, and brewpubs to close, tells adults age 65 and over and those with chronic health conditions to stay home, allows restaurants to stay open but to reduce capacity so customers are socially distanced.

By March 1, 2020, 150 of the guests informed Melinda and Harrison that they would not attend the event because of fears for their health. On March 6^th, Melinda and Harrison contacted all the vendors and informed them that they were cancelling the wedding. By this point the caterer had already ordered the food and begun preparing many of the dishes. He had already spent $10,000. The florist had spent $2000 for the flowers and paid his employees $500 to arrange the flowers. The priest was offered another wedding on March 6^th and had turned that down. The orchestra members had flown in from Los Angeles and were staying at the Holiday Inn in downtown San Francisco and had incurred costs of $3000 for meals and lodging. They also had gotten their suits pressed for $300. The banquet hall had hired and already paid independent contractors $2000 to clean the premises, set up tables, and to provide security at the event.

The owners of the ballroom offered to postpone the date of the event, but the couple said they had decided to get married at City Hall instead and to spend all the money that would be refunded to them on a cruise when the pandemic ended.

Melinda and Harrison are seeking restitution of the deposits they have paid to each of the vendors. The vendors have filed a cross-complaint seeking payment for the full contract price. The vendors claim Melinda and Harrison have breached the contract.

The contract with the Julia Morgan Ballroom contained the following clause:

In the event that the wedding is postponed for circumstances beyond our or your reasonable control, including: as a result of natural disaster, fire, flood, general strike, war, armed conflict, terrorist attack or nuclear or chemical contamination, we may terminate this Agreement with immediate effect. In such event, our obligation to provide you with the Julia Morgan Ballroom shall be null and void and we shall have no other liability to you.

The contract clause made no mention of disease or pandemics. The contract with the banquet hall was the only contract that contained this provision
