Vertex is a viable option as a potential buyer for many reasons. One of the main reasons

being their willingness and openness to expand. They have the goals, vision, and financial

stability to make the acquisition. Their vision and strategy states "We have a unique way of

building our drug discovery programs to maximize their chances of creating therapies that may

dramatically improve patients' lives. We focus on serious diseases where we can have a

transformative impact for patients, not just an incremental benefit. We work only on projects

where we have a deep understanding of the underlying cause of disease in humans. Then we

research and develop therapeutic approaches that are most likely to succeed. Rather than looking

for problems we can solve with only the tools we've used before, we figure out the problems that

need to be solved for the diseases we're going after and invent the tools to potentially fix them"

(Pipeline | Vertex Pharmaceuticals, 2022). With everything the company has to offer, we would

be providing Vertex with a chance to expand what it already has to offer and adding to its

extensive pipeline.

Acquisition-Related Task

There are several steps to the acquisition process. First there was building a guiding

coalition then it wasdetermining the value of the organization's assets, in other words evaluating

human capital, and pinpointing areas that needed attention. Next it was important to conduct

research on competitors and review the industry currently. In this report it recommended an

alternative buyer for the acquisition. The next step needs to involve financials including business

assets, values, products, and buildings owned. It is also important to include any debts that are

owed and plans on how to pay those debts before moving forward with the acquisition. This

should take no longer than 2 months to get together. The remaining steps should take a year and a half to two years to complete. Going through previous interested buyers and recommending.

Vertex should include open and honest communication from all parties. The evaluation step with

the interested parties should take two to three months as long as communication is effective and

efficient. Once the evaluation has been completed, negotiations should begin. Negotiations

should take no more than four months to complete. Next is making sure due diligence is

completed, which will take a month. The final few steps include the contract, financing, and

closing. Combined these final steps should be completed within two to three months.
