On August 20, 2006, Spouses Harold and Wilma purportedly sold the two parcels of land to Bianca for the price of 15 pesos per square meter. Bianca made a down payment of 50,000 pesos as evidenced by a memorandum receipt issued by Wilma of the same date. Several other payments totaling P200,000.00 were made by Bianca. A notarized deed of Absolute sale was made despite not giving full payment.

Sometime in May, 2009,Bianca notified the spouses having received information that the spouses sold the same property to another without her knowledge and consent. She demanded the second sale be cancelled and that the final deed of sale be issued in her favor.

In response, Wilma wrote a letter to Bianca wherein she acknowledged having agreed to sell the property to her at 15 pesos per sq meter. She, however, reminded Bianca that when the balance became due, she requested a reduction of the price and when she refused, Bianca backed out of the sale. Wilma added that she returned the sum of P5,000.00 to Bianca.
