On March 15, 2017, Penny enters into a written contract with Sam under which Sam agrees to deliver to Penny 1,000 cake molds by 2:00 pm, on March 30, 2017, in return for which Penny will pay Sam S6,000. On March 20, 2017. Penny discovers that Hannah is willing to sell and deliver 1,000 cake molds for $5,500 on March 30th. Penny signs a contract with Hannah, under which Penny agrees to buy the molds from Hannah on the condition that Penny is able to get out of the obligation to buy them from Sam. Hannah agrees to hold the cake molds for Penny, though she notes that it will prevent her from selling them for the next ten days. By end of March, Penny notices that few customers are buying cake molds, and so Penny wants to get out of the obligation to buy any cake molds at all. On March 30, 2017, Sam's truck breaks down while on the way to deliver the 1,000 cake molds to Penny. As a result, Sam is not able to deliver the cake molds until 5:00 pm. When Sam arrives, Penny tells him that, by being late, Sam has breached the contract, and so Penny is terminating the contract and refusing to accept the cake molds. When Hannah calls Penny later that evening to deliver the cake molds, Penny tells Hannah that she doesn't want the cake molds anymore.
