Over the course of several days, Lindenwood Fitness Club and STL Public Relations negotiated an oral agreement whereby STL would provide advertising and public relations services in connection with Lindenwood's proposed major expansion of fitness centers and programs in the St. Louis metropolitan area. The two CEO's of Lindenwood Fitness and STL worked out all material terms of their agreement and shook hands on the deal. STL stated that it would have its inhouse legal counsel put the agreement in writing within 24 hours and provide the written agreement to Lindenwood for signature. STL's lawyer drafted a written contract that accurately stated the terms of the parties' oral agreement. STL's C.E.O. signed the written contract and had the agreement hand delivered to Lindenwood. Lindenwood decided not to move forward with a relationship with STL and explained that it had found another public relations firm.
