Directors duties Albert, Brenda, Charles and Diana are directors and shareholders of Metellica Pty Ltd. The company is involved in developing software programmes for business and has enjoyed phenomenal success. Sales have doubled in the last year and profit levels have skyrocketed in recent years especially with the release of the Dynamo series of software programs that have revolutionised the way business manages supply chains. Albert is the managing director and he has recently gained consent of the other directors for Metallica to enter into a contract with Brightside Pty Ltd for installation and training of the Dynamo software. Brightside is owned and managed by Alberts younger sister Dolores. This is a multimillion dollar contract and the terms provide generous payment arrangements that includes million dollar performance bonuses for Brightside's directors. These are structured to kick in on reaching performance targets which are reasonably demanding but not unattainable. At the same time Diana, who is a non-executive director, has become increasingly unhappy about the management direction of Metallica, and how the three executive directors, Albert, Brendan Charles, have awarded themselves massive performance bonuses. She is concerned about the size of these bonuses and that her requests for a dividend payment over the last four years have fallen on deaf ears.
