Pig Farm is a brand name for pork products that are produced by a family company in NSW . The Company is a Pty Ltd

Pig Farm" is a brand name for pork products that are produced by a family company in NSW . The Company is a Pty Ltd company called Pig Farm Pty Ltd and is essentially a family owned company.

There are 4 Directors namely: Fred, Mable, Patrick and John and they each have 500 ordinary shares in the company.

There are also 5 children of the Directors who each have 200A Class shares.

Each A Class share currently carries an entitlement to receive dividends equally whenever they are declared for the ordinary shareholders , but they are not entitled to vote in election of Directors. Under the Company Constitution, that right is only provided to the ordicary shareholders.

The directors would like to have the constitution amended so that A Class shareholders will also be given the right to vote on the election of Directors..

Currently, the company has a constitution that contains the relevant replaceable rule that applies to changing the constitution and changing the rights of class shareholders.

Required:

Advise the Board of Directors as to the procedure that is required by the relevant replaceable rule.
