WRITING AND INTERPRETATION OF CONTRACTS NOTES : III. What are the Rules that apply when Interpreting a Contract? Once a contract is reduced to its written form, the interpretation of that contract is important in determining the parties' performance and rights. A court may be called upon to determine the intent of the parties. They may also need to interpret the definition or terms of a contract. A. Intention of the parties 1. The court attempts to determine the intent of the parties when they entered the agreement. Therefore, a contract will be enforced according to its terms. The courts will use the reasonable person standard to interpret what the parties intended, not the individual view of either party. 2. Meaning of words -- Ordinary words are given ordinary meaning. When a contract calls for the homeowner to pay for gallons of oil supplied, the standard definition of a gallon will apply. If there are specific terms that relate to a specific industry, those terms will be interpreted based on the industry definition. For example, when the bank credits your account, your balance increases. When they debit the account, it decreases. B. Contradictory terms 1. If one term in the contract conflicts with another, or a term has more than one meaning, the court may have to determine what the contract means. Parol evidence may be allowed by the court to make clarifications. 2. Nature of writing a. In some instances, a pre-printed contract may be used, and the parties may make modifications by handwriting, or typing, in changes. b. When there is a conflict between the printed contract, and the modification, the modification prevails. This is because the court will look at the intent of the parties. The belief is that the changes more closely match the intent because the parties took the time to handwrite or type the details into the contract. Therefore, a handwritten change would apply if it changed the typed or printed contract. Or a typed change would apply over written contract. c. When there is a conflict between an amount expressed in numbers, or figures, and words the quantity expressed in words prevails. Therefore, if you write a check and enter the numbers $450.00 but write Five Hundred Forty Dollars, the bank will cash the check for $540.00. 3. Ambiguity a. If the intent of a contract is uncertain and is capable of more than one reasonable interpretation, the contract is deemed to be ambiguous. For example, a contract may have referenced a dollar amount for a Canadian insurance contract. The word "dollar" might be ambiguous here since it might mean either U.S. dollars or Canadian dollars depending on the parties to the contract. b. When the court finds a contract that is deemed ambiguous, the court will rule against the party that drafted the contract as that party should have worked to ensure that the contract was clearly written.
