Background and Introduction Oracle, led by Larry Ellison, is a California based company and was once the largest seller of database management systems and other software. Larry Ellison was the company's first and only CEO and he was leading the company to have a $23.6 billion in annual revenue. The company was started in 1977 with the main users being the government, military, and intelligence entities. Sun Microsystems, on the other hand, was not one to be overlooked. Founded in 1982 by three Stanford graduate students and built on desktop computers and workstations, Sun was able to become the darling of Silicon Valley. It had started as a hardware and server producer and had also been able to grab a solid position in the software industry. Sun had introduced Java, Solaris operation system, and MySQL database management software. Sun Microsystems ended up going public in 1986 and was extremely successful. In the 1990s Sun had an altercation with Microsoft and had to make Java and Solaris available to all users, which ended up being an open-source platform in 2007. With this, users were able to adjust the platform to their specific needs and able to adapt to be able to do a variety of tasks. Ellison was extremely interested in acquiring Sun, because he saw a future with them and saw the potential of creating the equivalent of Walmart in the enterprise software industry. On April 6, 2009, news broke that IBM and Sun had been talking about a possible merger, but the talks had not led to a deal being made. IBM put in an offer a few weeks prior to Oracle at S9.40 per share, but the talks of accepting the offer had stalled because of multiple concerns. Oracle did not wait long before stepping in with their own offer. Oracle had a bid price of $9.50 per share on the day the offer was made, which was over a 40% premium on Sun's $6.69 per share. Oracle had bought many companies and have been extremely successful with them. They have been able to turn a 10% margin into a 40% margin and have always been known to plan before even making an offer. Since 2005, Oracle had spent more than $30 billion on different companies in order to refine what they had and improve upon it. Ellison believed that buying Sun would better spread out Oracle's reach to different groups of people top of the line that they already ha, but they would be able to attract smaller customers because of systems like Java and MySQL .
