The Uniform Commercial Code, or UCC, was developed by the American Law Institute and the National Conference of Commissioners on the Uniform State Laws. Its purpose is to ensure that contract law is fair across state lines(Prenkert, Barnes, Perry, Haugh, & Stemler, 2022). The code makes for more efficient and confident transactions.
The UCC, in its practical application, will supersede common law in cases where the contract pertains to the sale of goods, such as a car. Common law, on the other hand, governs real estate, services, intangible assets, employment, and insurance. (Prenkert, Barnes, Perry, Haugh, & Stemler, 2022)
Parties do not get to choose whether to observe common law or UCC; the law that applies will depend on the transaction, whether it is an intangible good or not.
The UCC has been adopted in all states except for Louisiana, where specific sections of the UCC. The federal government could make a standard set of laws for contracts through amendments to the Constitution. However, that would make it very black and white, and would not have every possible situation covered, so there would be more questions than answers. Currently, with the codes and regulations, it is more flexible and leaves the ability to add as new situations arrive within contractual issues.
