Question 2 (30 marks) PARTI Red Carpet have 10,000 shares. There were three shareholders, i.e. Alex with 5,000 ordinary shares and 500 preference shares; Esther with 2,000 ordinary shares and Max 3000 ordinary shares and 500 preference shares. The articles provided that the provisions contained in these articles may be altered by 2/3 of the members of the company. In an EGM attended by Alex and Esther, the company wanted to change the company name to White Marble Ltd. Required: Whether the resolution to change the company name was valid? (15 marks) PART II Red Carpet Ltd had 1,000 preference shares. [Alex had 500 preference shares and Max had 500 preference shares.] The articles provided that "the holders of the preference shares shall be entitled to 5% dividend payment provided that the same has been declared by the majority of the board of directors. In an EGM attended by Alex & Esther, a resolution passed that dividends to be paid to the preference shareholders by debenture bonds. Max did not attend the EGM.
