Questions Part A - initial instructions Set out the possible factors which may have influenced Andrew and Hadiqa's decision to set up a private company limited by shares. Outline the steps which would be needed to set up a company in accordance with Andrew and Hadiqa's instructions. Part B - further issues (2 years later) Andrew would like to know whether his plans to appoint distributors to sell Tipu's products exclusively in Germany and Austria will be acceptable under European Union law. Due to the high quality of Tipu's products, he explains that he would wish to set the prices at which the distributors sell such products. He vaguely remembers something about fair trade from his studies but is uncertain as to whether EU law is still applicable to Tipu post-Brexit and states that "he assumes that the European Commission won't be bothered about such a small UK-based company anymore". Andrew and Hadiqa have not been able to reach agreement on the proposed expansion into Europe. Andrew would like to know whether he can now involve himself directly in the management of Tipu Ltd. He would like himself and his brother Richard to be on the board and would like to remove Hadiqa as a director. You can assume that Tipu's articles are in the form of the Model Articles for Private Companies Limited by Shares.
