I would choose an LLC form over a partnership or S-corporation because if I didnt want to be a manager of the business, I can turn it over to someone else. Another thing is too I dont have to forfeit my right like a limited partnership to participate in management of any part of the business or organization. Having a LLC I am member, and my share of the organization would be a interest. As LLC business youre not limited to on how members you have on board. Also, an LLC is not limited to one class of stock as a S-corporation is. What is also nice about an LLC is that your organization can be a C-corporation if you choose. An LLC can transfer your assets to the new corporation as a C-corporation. What is also nice in choosing a LLC over a partnership or S-corporation is that you as a member are not personally liable for the debts or liabilities that the organization or business has acquired. But you are liable to the debts and liabilities that you personally guaranteed these debts or liabilities in the business or the organization. Another reason I would choose an LLC is that tax benefits and liabilities that pass to each member.
