The purpose of this Problem Assignment is for you to become familiar with how to use the Securities and Exchange Commission (SEC) website to investigate information on various publicly traded corporations and to use the LexisNexis database to explore statutory law pertaining to corporations in the state you selected in Week 2. The SEC website is also useful for exploring companies you may want to invest in. You will be preparing a brief report consisting of two sections.
Instructions:
1. Access the Securities and Exchange Commission website and complete section 1 of the brief report
a. The URL for the SEC website is http://www.sec.gov/
b. Once you are on the website, click under Filings on the top menu and then under
Company Filings Search.
c. Click under Latest Filings.
d. Select one of the companies from the list that appears to be a corporation or LLC. The company name should end in words such as Inc., Corp., Limited, or LLC.
e. You will be conducting a further search of this companys filings by clicking under the companys name. If you receive an error message try picking another company.
f. Look through the companys filings and find a Form 10-K (annual report), 10-Q (quarterly report), or 8-K (current report). The 8-K may be your best choice, as it is usually the shortest document and you should not run into any error messages concerning capacity.
g. Click under the 10-K, 10-Q, or 8-K report you found and prepare section 1 of the brief report that responds to the following questions:
i. Give the company name.
ii. Provide the address for the company. This could be an address in more than one state.
iii. List the state in which the company is incorporated. This is not always the same state as the companys address.
iv. Explain one thing you learned about the company from the report. You may be required to click on the back arrow and click under a separate document to find out something about the company.
v. Specify the name and title of the person signing the report and explain why this person was required to sign the report based on what you learned from your readings this week.
2. Next, you will explore some statutory law in the state you selected in Week 2 that concerns corporations.
3. You will use the LexisNexis database you used in Week 2.
4. Access the LexisNexis database at the Danforth Library and conduct statutory research by
doing the following:
a. From the New England College website, click on Library and Library Online Resources and then scroll down to the Danforth Databases click under Lexis-Nexis Academic. At some point, you will need to enter your six-digit NEC ID #, so have it handy.
b. Click under Search by Content Type which is at the top right on the opening page for Lexis-Nexis Academic.
c. Click under State Statutes and Regulations.
d. Add your search terms into the Search For box.
e. You will be looking for information on setting up a business corporation in the state you have selected, so use a search term such as business corporation or business organization.
f. Click under one of the statutes that has popped up in order to complete the remainder of the assignment.
5. Prepare section 2 of the brief report by completing the following:
a. List the citation and title for the statute you found.
b. This will be numbers, letters, or a combination of numbers and letters and a title that you will see once you click on the statute.
c. Read the statute.
d. Summarize the central provisions of the statute you found.
