Morty works for Rick, Inc., as a salesman for three years. Because Morty is an excellent salesman, Rick asks him to sign a document entitled "Agreement Not To Compete." This contract provides that, once Morty leaves Rick's employ, Morty will not compete against Rick by working for any of Rick's competitors anywhere for a period of two years from the day after the date Morty leaves Rick's employ.

The Agreement further provides that Rick will receive at least $100, 000 in compensation if Morty breaches the agreement. Morty signs the Agreement Not To Compete, receiving nothing for it.

Eighteen months later, Morty leaves Rick's employ, and immediately goes to work for Rick's main competitor, Jerry Corp. Rick then files a lawsuit against Morty seeking to enforce to the Agreement Not To Compete.
